Legislative Decree n. 231 of June 8th, 2001 has introduced the discipline of Company administrative responsibility into the Italian legal system. This discipline states that Companies can be held responsible and therefore subject to penalties, for any offence or attempt to commit one in the interest or to the advantage of the Company by its employees or administrators in Italy or abroad.
The Company's responsibility can, however, be relieved if it adopts and implements efficiently an adequate organizational model (the “Model”) to avoid the offences contemplated by the law. The Model comprehends the Code of Ethics and consists of a structure of organizational principles, rules and procedures with the function of implementing a system that monitors and controls sensible activities in order to prevent the offences contemplated by the 2001 n. 231 Legislative Decree.
Tecnomare's Board of Directors has deliberated the adoption of the organizational model ex Legislative Decree 231/2011 on March 11th, 2005; from then on, the model was periodically updated with new legal requirements.
The last update of February 3rd, 2011 requires that the Watch Structure, also as the Code of Ethics guarantor, shall be formed as corporate body and that its chairmanship shall be covered by an expert of company finance and organization, who is not a part of eni.
