Corporate Governance is
the combination of rules and procedures used to control listed companies.
Eni has defined an articulated and consistent system for its structure
and relations with third parties.
The Board of Directors defines the company’s
strategy and controls its management. The Chairman oversees
the management of the Board and verifies the implementation of its decisions.
The Chief Executive oversees the management of the
company.
Within the Board have been established a Compensation Committee,
an Internal Control Committee and an International
Oil Committee.
The control bodies are the Board of Statutory Auditors,
the Magistrate of the Corte dei Conti for control, and the external
auditors.
Every year Eni publishes its Balance Sheet and Income Statement in
an Annual Report, an Interim Half-Yearly Report and Quarterly
Reports. In line with US legislation the company also publishes
its Annual Report on form 20F.
